Site assessment, electrical and gas infrastructure study, land survey, and viability determination — with a full refund of the feasibility fee upon determination, regardless of outcome.

1. Scope of Feasibility Services

Ocean (Renewable Connected Systems) ("Company") will perform a comprehensive feasibility study of the Site to determine its suitability for data center development. The study includes the following assessments:

Site & Land Assessment. Boundary and topographic land survey, acreage verification, soil and geotechnical review, flood plain and drainage evaluation, and access/easement review.

Electrical Infrastructure Study. Utility interconnection capacity review, substation and transmission proximity analysis, available megawatt capacity assessment, and preliminary coordination with the serving electric utility.

Natural Gas Availability Study. Gas main proximity and pressure review, available supply capacity for on-site generation, and preliminary coordination with the serving gas utility or pipeline operator.

Zoning & Entitlement Review. Current zoning classification, permitted-use analysis for data center development, setback and height restrictions, and identification of required variances or permits.

Water, Sewer & Fiber Review. Water and sanitary sewer capacity for cooling and operations, and fiber/telecommunications route availability and carrier diversity.

Feasibility Determination. Company will report back to Client on the feasibility of the location for data center development, with a clear determination of Viable or Not Viable, including estimated infrastructure costs and timelines.

2. Feasibility Fee

Client agrees to pay Company a one-time feasibility fee of $__________ (the "Feasibility Fee"), due in full upon execution of this Agreement. The Feasibility Fee covers all assessments listed in Section 1, including third-party survey and utility coordination costs.

3. Determination Period & Refund Guarantee

Company will report back to Client on the feasibility of the location within forty-five (45) to sixty (60) calendar days of receipt of the Feasibility Fee and Site access (the "Determination Period").

Refund Guarantee. Upon reporting back its feasibility determination, Company will refund the Feasibility Fee to Client in full within fifteen (15) business days — regardless of whether the Site is determined Viable or Not Viable.

If Company fails to report back within the Determination Period (extended only by delays in Site access, utility response times, or force majeure), Client may terminate this Agreement and receive a full refund of the Feasibility Fee.

4. Site Access & Client Cooperation

Client will provide Company and its contractors reasonable access to the Site and will promptly furnish existing surveys, title documents, utility bills, and other records reasonably requested. Delays caused by lack of access or missing documentation extend the Determination Period day-for-day.

5. Confidentiality & Use of Findings

The feasibility findings are prepared solely for Client and Company. Neither party will disclose the findings or the commercial terms of this Agreement to third parties without written consent, except to lenders, investors, or advisors under confidentiality, or as required by law.

6. Limitations

The feasibility study reflects conditions and utility responses as of the study period. Company does not guarantee future utility capacity, permitting approval, or project economics. This Agreement does not obligate either party to proceed with development; any development work will be governed by a separate written agreement.

7. General Terms

This Agreement is the entire agreement between the parties regarding the feasibility study and supersedes all prior discussions. It is governed by the laws of the State of Texas. Any amendment must be in writing and signed by both parties. If any provision is held unenforceable, the remainder stays in effect.

8. Acceptance & Signatures

By signing below, the parties agree to the terms of this Data Center Site Feasibility Agreement, including the Feasibility Fee and Refund Guarantee described in Sections 2 and 3.
